General Conditions of Sale
1. Goods travel at the Buyer’s care, expense and risk.
2. All prices are quoted ex works (EXW) at the Vendor’s premise. Any shipping costs (transport, insurance, customs, duties, handling, delivery and others fees) charged to the buyer are based on distance and weight/volume.
3. The prices indicated refer to finish works. In the absence of an agreement with the Buyer regarding the schedule of the order, CAMPIONTEX reserves the right to review the prices at a later date.
4. No claims or unauthorized returns of the goods shall be accepted by the Vendor after 15 (fifteen) days upon receipt of the goods by the Buyer.
5. Any item inquiry shall be subject to the Buyer’s acceptance of the customized order proposal issued by CAMPIONTEX, which shall be valid for 30 (thirty) days.
6. Each order proposal shall be subject to the Vendor’s express acceptance . If CAMPIONTEX does not formally accept the order within 30 (thirty) days of receipt, it shall be deemed accepted. CAMPIONTEX shall notify the Buyer, on the case by case basis, of any applicable minimum order requirements.
7. Due to production requirements, CAMPIONTEX reserves the right to deliver and invoice a quantity up to 5% above or below of the ordered quantity.
8. In the event of late or irregular payments, CAMPIONTEX shall be entitled to suspend ongoing supplies, including supplies unrelated to the outstanding payment, and to amend the payment terms and any applicable discounts for subsequent supplies, including by requiring payment in advance or the issuance of additional guarantees. Interests on late payment shall accrue from the applicable payment due date, without the need for any formal notice of default, at a rate equal to the official discount rate plus three percentage points. The buyer shall also remburse CAMPIONTEX for the relative bank charges.
9. Payments shall be headed to CAMPIONTEX’s registered office. Payments made to other entity shall not be deemed valid unless they have special authorization. Unless otherwise formally agreed, the Buyer shall pay 50% of the total order value upon its acceptance and the remaining balance prior the agreed shipment date. In case the Buyer should delay the balance payment for more than 15 (fifteen) days beyond the agreed shipment date and/or fail to collect the ordered goods within 15 (fifteen) days after our order notification, CAMPIONTEX reserves the right to charge a warehouse storage and handling fee of € 50.00 per day until delivery takes place. Any amendements to the order communicated after its acceptance will be rejected.
10. In the event that material are delivered to CAMPIONTEX for processing, upon completion of the work, and unless otherwise written agreements between the Parties or in the absence of further formal orders from the Buyer, the Buyer must arrange for the collection of the processed material at his own expense within 15 (fifteen) days.
11. In the event that third-party suppliers are involded in the production process (e.g., paper converting, printing, etc.), CAMPIONTEX shall be liable to the Buyer solely in respect of the processing activities directly performed by CAMPIONTEX. The specific production process of CAMPIONTEX products requires the Buyer to store the finished products appropriately (regarding location, climate conditions, temperature, and humidity level). Any damage caused by these or other instances of improper storage shall not be attributable to CAMPIONTEX.
12. For any dispute, the court of Vicenza shall have the exclusive jurisdiction.
The provisions set forth in sections 4, 5, 6, 7, and 9 of this agreement are hereby specifically approved and expressely accepted by the Parties. The Buyer shall promptly notify CAMPIONTEX of any errors/omissions concerning your personal or tax data. In the absence of such notification, the data listed herein shall remain valid, and we shall be held free from any liability or penalities.
Consent is hereby given for the processing of data in accordance with Art. 13 of Legislative Decree no. 196 of June 30, 2003.
